Documents show that attorneys for the Columbus Crew SC may have been angling to potentially reduce the team's future property-tax bill on Mapfre Stadium in stalled discussions with the state on a new long-term lease, with one legal term used by team lawyers raising a red flag with the Columbus City Schools' property-tax attorney.

With the win, we learned more about Columbus and why this team is a darkhorse to win the 2020 MLS Cup. The Crew offense is creative again. Head coach Caleb Porter has mentioned that his team is a 'good matchup against the Red Bulls' from a tactical standpoint. Two games against New York and the results proved that.

A 'term sheet' on lease negotiations put together by the team's attorneys said they might ask the state to approve an ownership transfer on Mapfre Stadium to a new entity 'in connection with real estate tax and other considerations.'

While the state Department of Administrative Services says it is not entertaining any sale of the State Fairgrounds land that Mapfre sits on, currently leased to the team, the stadium itself is privately owned.

Parties are negotiating an expanded 'ground lease'

The team is negotiating a new and expanded 'ground lease' that could extend up to 60 years to accommodate its new Mapfre practice facility on the site, documents show. Negotiations on the long-term lease recently passed the two-year mark since the project was announced in late 2018.

The team didn't respond to a request this month to discuss its term sheet. The Dispatch obtained documents from the state DAS through the Ohio Public Records Act.

It's unclear why the team thinks transferring the title of Mapfre Stadium would affect the team's property taxes. The only money currently paid on Mapfre is the result of a 2007 settlement between the team and Columbus City schools. That contract locks the team into making annual 'payments in lieu of taxes' as long as the facility remains tax-exempt.

That agreement has resulted in the school district collecting more than $3.7 million to date, and calls for the team to pay another $195,000 to the district for the 2019 and 2020 tax years, and then payments of $210,000 annually for the following three tax years.

But a 'term sheet' drafted last year by the team's attorneys to guide lease discussions with the state Department of Administrative Services states:

'Ownership of existing MAPFRE Stadium to be discussed and examined in connection with real estate tax and other considerations. Existing MAPFRE Stadium is currently owned by a developer-related entity under the existing (state) lease.'

The agreement with Columbus City Schools 'going forward will be addressed in connection with the overall restructuring of the leases and terms,' it adds. And 'if necessary,' the Ohio Expositions Commission, which oversees the State Fairgrounds and effectively owns the land, would 'consent to transferring title' on the stadium itself 'via bill of sale and related documents.'

Neither Columbus City Schools Treasurer Stan Bahorek nor Mark Gillis, a Columbus attorney specializing in property-tax law who represents the city school district, said they were aware of any talks about changes to the tax agreement between the Crew and district.

But using the phrase 'via bill of sale' raises potential red flags, Gillis said. In real-estate circles, that term typically means selling a property without transferring the deed, but instead transferring ownership of a corporation that holds the deed.

Bills of sale in connection to real estate were the subject of a recent Ohio Supreme Court ruling, Gillis said, which held that they are real estate transfers for property-taxation purposes. However, they make it more difficult to ascertain the true sale price paid, he said.

While the stadium's 'market value' doesn't mean much now, it will.

According to the agreement between the district and team, starting with tax year 2024, the Crew and the Columbus Board of Education 'will mutually agree on the value of the property for each successive three-year period,' and the team will pay the district 'based on the rates then in effect.'

That means that the set payments will disappear, replaced by a system that reconnects the stadium to its market value. That's the way most property is taxed in Ohio, with the exception in this case being that the county auditor won't have a role in setting the appraised value of Mapfre.

'They're supposed to make the Board of Education whole,' Gillis said. 'A (market) value would be agreed upon and determined, and payments would be based upon that.'

Why have negotiations dragged on so long?

Negotiations between the state and team on a ground lease have dragged on so long that the legal agreement last summer that allowed the Crew to begin constructing its $29 million training facility on the State Fairgrounds parking lot west of Mapfre Stadium expired at the end of November — the second time that has happened in two months.

The Ohio Expositions Commission, which has final say over the Fairgrounds land, provided a copy of an extended 'right-of-entry' agreement that now expires at the end of January. It's unclear when it was signed, and whether the former agreement lapsed at any time.

While the previous right-of-entry contracts for Mapfre essentially protected the team from potentially being charged with trespass for building on state property, they also protected the state in that they required the team to remove everything it builds and restore the former parking lot if the lease ultimately isn't signed.

The city project was to be the public centerpiece of the deal to build the team a new Downtown stadium, providing recreational playing fields in an urban neighborhood lacking such amenities.

While no officials involved in the negotiations would discuss what is holding up the long-term leases, documents indicate that the state might be demanding more money for the land than the deal's backers anticipated.

Since the team already has signed an agreement to pay $10 a year rent to an entity created by the city of Columbus and Franklin County, it's unclear who would pay the remainder if the state demands more.

Meeting minutes show Steve Reinhard, a member of the Ohio Expositions Commission, questioned administrators during a May meeting that 'if the lease negotiations are going so well, why doesn't the Crew management have an agreed-upon dollar amount for the lease of the property.' After a loss to FC Cincinnati on Wednesday, Crew coach Caleb Porter and his players held a long meeting that he believes brought the team together.

The next step for the team is to get back on the right track toward recovering from an embarrassing two-game skid that has now thrown the Crew seven points off the lead in Major League Soccer's Eastern Conference.

The Crew hosts New York City FC at 6 p.m. Sunday.

'Irrespective of the result in this next game, I'm confident in the last three days we became better as a team, stronger as a team, and I'm really confident that we will have a good performance,' Porter said. 'Will we be a perfect team all of a sudden? No, that doesn't just happen immediately in three days. But I'm really confident that we're going to be on the right track going into this game and future games.'

In that meeting and in the days since the loss to Cincinnati, Porter said the team talked about issues beyond the last game that hopefully have been resolved entering the stretch run of the regular season, when every point can determine playoff seeding.

Against New York City FC, which sits four points behind the Crew in the standings, the need to end its four-game winless streak seems prudent.

'I think we need to put this last bad week behind us,' Porter said. 'We've owned it as a team, we've owned it as coaches. We've gone through the film. We've addressed not just that game but some other things over the last several weeks that we can all do better. But we can't just keep letting this linger. We need to move on from it.'

NYCFC (8-7-3, 27 points) returns to Mapfre Stadium for the first time since the season opener in March to play a hungry Columbus team.

The Crew (9-4-4, 31 points) lost to Montreal Impact in its last home game, which underscored some concerns about the viability of the Crew as a contender for the top spot in the East. Those concerns have elevated into full-blown problems with just six games remaining in the regular season.

Once again, the Crew will be without midfielders Darlington Nagbe, Lucas Zelarayan and goalkeeper Eloy Room due to injuries. NYCFC is also missing a few injured players, including forward Heber and defender James Sands, though midfielder Maxi Morales is expected to return.

One major issue recently has been the Crew's propensity for slow starts. The Crew has not lost a game when scoring first, but it has not done that in the past four games.

'It's important we start the game well, score first, because if we score first, the opponents need to attack,' midfielder Pedro Santos said. 'They will open more space and we have more space to find and to create something.'

Santos said the poor results lately might be a combination of not being focused for 90 minutes and executing in possession. It's not an issue, however, of players on the field getting the job done.

'We need to start the game well like we did in the past,' Santos said. 'After that, we win confidence and we can play better and we're going to hurt the opponent with the situation because we have good quality.'

No 2020 Supporters' Shield trophy

The prize given to the team that finishes with the most points in a season in MLS will be on hiatus for 2020.

The Supporters' Shield foundation announced Saturday afternoon that the trophy will not be awarded this season and will return in 2021.
